Terms of service

These terms are an agreement between you and NorthPointe ("we", "us") for the use of MyAnnualCalendar (the "service"). By creating an account or using the service, you agree to them. If you use the service for an organization, you agree for that organization and confirm you can do so.

1. Accounts

You must be at least 18, or the age of majority where you live, to open an account. Keep your sign-in secure; you are responsible for activity on your account. Owners decide who joins an account and what each person can do, and are responsible for the people they invite.

2. Children

A parent or guardian may add children to a Family plan after giving verifiable consent. The parent is responsible for the child's use of the service and can change or remove the child's account at any time. See our privacy policy for how children's information is handled.

3. Plans, trials and billing

The Individual plan is free. Family, Team and Entrepreneur plans are paid monthly and begin with a 5-day free trial. Unless you cancel before the trial ends, your subscription starts and renews each month until cancelled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the merchant of record for all our orders. Paddle provides all customer service inquiries and handles returns. Prices, taxes and the terms of your purchase are shown at checkout, and Paddle's terms apply to the purchase.

You can change or cancel your plan from Settings. A plan's limits (such as the number of people or active clients) apply while you are on it; to move to a smaller plan you may first need to remove people or archive clients. We may change prices with at least 30 days' notice before your next renewal.

4. Your content

You own what you put on your calendar. You give us permission to store, copy, display and sync it only as needed to run the service for you and the people you share it with. You are responsible for having the right to add what you add, including information about other people.

5. Connected calendars

If you connect Google or Microsoft, you authorize us to read and write events on the calendars you choose, to keep them in sync. Your use of those services is also governed by their terms. Sync depends on those services being available, and changes can take a few minutes to appear on both sides.

6. Acceptable use

Don't use the service to break the law, to harass or harm anyone, to send spam, to upload malicious code, to get into accounts or data that aren't yours, to probe or overload our systems, or to copy or resell the service. We may suspend an account that does.

7. Entrepreneurs and clients

On the Entrepreneur plan, the Entrepreneur controls each client's calendar and who is invited to it. When a client breaks off to their own account, they take a copy of their calendar, and the Entrepreneur keeps an archived copy. Entrepreneurs are responsible for their own agreements with their clients and vendors.

8. Availability and changes

We work to keep the service available and your data safe, but we don't promise it will be uninterrupted or error free. We may improve, change or retire features. If we discontinue the service, we will give at least 30 days' notice and a way to get your information out.

9. Ending your account

You can close your account at any time. We may suspend or close an account that breaks these terms or goes unpaid. After closing, we delete your information as described in the privacy policy.

10. Disclaimers

The service is provided "as is." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Reminders and alerts are a convenience; don't rely on them alone for anything critical, such as medical or legal deadlines.

11. Limit of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost data, profits or revenue. Our total liability for any claim is limited to the amount you paid for the service in the 12 months before the claim, or $50 if you paid nothing.

12. Changes to these terms

If we change these terms in a way that matters, we will tell you in the app or by email before the change takes effect. Continuing to use the service after that means you accept the new terms.

13. Governing law

These terms are governed by the laws of the State of [state], without regard to conflict of laws rules, and disputes will be brought in the courts located in [county, state].
